Personal data is retained only for as long as necessary to fulfill the purposes for which it was collected. Contact form submissions are retained for a maximum of 24 months. Transaction records are retained for 7 years in compliance with Romanian fiscal legislation. Technical logs are automatically purged after 90 days.

These measures include TLS encryption for data in transit, encrypted storage for sensitive data at rest, access controls with principle of least privilege, regular security audits, and incident response procedures. In the event of a data breach affecting your personal data, we will notify you and the relevant supervisory authority within 72 hours as required by Article 33 of the GDPR.

Where personal data is transferred outside the European Economic Area (EEA), we ensure appropriate safeguards are in place, including Standard Contractual Clauses (SCCs) approved by the European Commission, or adequacy decisions for the destination country.

1. Agreement to Terms

By accessing or using the services provided by BuildFrameLabs, registered at 087165, Str. Grădinarilor nr. 2, Mihai Bravu, Jud. Giurgiu, Romania ("Company", "we", "us"), you agree to be bound by these Terms of Service. If you do not agree to these terms, you must not access or use our services. These terms constitute a legally binding agreement between you ("Client", "you") and BuildFrameLabs.

2. Scope of Services

BuildFrameLabs provides web development, backend system architecture, full-stack codebase engineering, and related technical services as described in our service listings. The specific scope, deliverables, timeline, and pricing for each engagement will be documented in a separate Statement of Work (SOW) or service agreement executed between the parties. Any modifications to the agreed scope must be documented in writing and signed by both parties.

3. Payment Terms

• All prices are quoted in United States Dollars (USD) unless otherwise specified.
• Payment is due according to the milestone schedule defined in the SOW.
• A non-refundable deposit of 30% is required before work commences on any engagement.
• Invoices are payable within 14 days of issuance. Late payments incur a 1.5% monthly interest charge.
• Work may be suspended if payment is overdue by more than 30 days.

4. Intellectual Property

Upon full payment of all applicable fees, the Client receives full ownership of all custom code, designs, and deliverables produced specifically for the engagement ("Work Product"). BuildFrameLabs retains ownership of pre-existing tools, libraries, frameworks, and methodologies used in the creation of Work Product ("Background IP"). The Client is granted a non-exclusive, perpetual, irrevocable license to use Background IP solely as integrated within the Work Product. BuildFrameLabs reserves the right to showcase anonymized case studies and portfolio examples of completed Work.

5. Confidentiality

Both parties agree to maintain the confidentiality of proprietary information shared during the course of the engagement. This obligation survives termination of the agreement for a period of 3 years. Confidential information includes but is not limited to: business strategies, technical architectures, source code access credentials, financial data, and customer information.

6. Limitation of Liability

To the maximum extent permitted by applicable law, BuildFrameLabs's total aggregate liability arising out of or related to these Terms shall not exceed the total fees paid by the Client in the 12 months preceding the claim. BuildFrameLabs shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, or business opportunities.

7. Warranty

BuildFrameLabs warrants that all services will be performed in a professional and workmanlike manner, consistent with generally accepted industry standards. A 30-day bug-fix warranty period applies to all delivered Work Product, during which defects in functionality (not scope changes) will be resolved at no additional charge. This warranty does not cover issues arising from third-party services, client modifications, or force majeure events.

8. Termination

Either party may terminate the agreement with 14 days' written notice. In the event of termination by the Client without cause, all work completed up to the termination date shall be paid in full, including the non-refundable deposit. BuildFrameLabs may terminate immediately if the Client breaches any material term and fails to cure within 7 days of written notice.

9. Governing Law

These Terms shall be governed by and construed in accordance with the laws of Romania. Any disputes arising from these Terms shall be subject to the exclusive jurisdiction of the courts of Giurgiu, Romania. The United Nations Convention on Contracts for the International Sale of Goods (CISG) does not apply to these Terms.

1. Refund Eligibility

BuildFrameLabs operates a milestone-based payment system. Refund eligibility is assessed based on the project stage at the time of the refund request. The initial 30% deposit is non-refundable and covers project initiation, discovery, and resource allocation costs. Subsequent milestone payments may be eligible for partial or full refund depending on work completion status.

2. Refund Conditions

A refund may be issued under the following circumstances:

• Non-delivery: If BuildFrameLabs fails to deliver the agreed-upon milestones within the contracted timeline due to causes solely attributable to BuildFrameLabs, the Client may request a full refund of all payments made for undelivered milestones.
• Material defect: If delivered work materially deviates from the agreed specifications and BuildFrameLabs is unable to remedy the defect within 14 days of written notice, the Client may request a refund proportional to the affected scope.
• Client cancellation: If the Client cancels the project before completion, payments for work already completed and delivered are non-refundable. The Client will receive all completed Work Product upon payment of outstanding invoices.

3. Refund Process

To request a refund, the Client must submit a written request to [email protected] detailing the reason for the refund request. BuildFrameLabs will acknowledge receipt within 2 business days and provide a full assessment within 10 business days. Approved refunds will be processed within 14 business days using the original payment method.

4. Dispute Resolution

In the event of a refund dispute, both parties agree to attempt good-faith negotiation for a period of 30 days before initiating formal dispute resolution proceedings. If negotiation fails, the dispute shall be submitted to binding arbitration in accordance with the rules of the Romanian Arbitration Court, with proceedings conducted in English.

5. Chargeback Policy

BuildFrameLabs strongly encourages Clients to contact us directly to resolve any payment concerns before initiating a chargeback through their financial institution. Chargebacks filed without prior communication may result in service suspension and additional administrative fees of $150 USD. All chargeback disputes will be defended with full documentation of services rendered and communications exchanged.
